These Terms of Service ("Terms") form a binding agreement between you and Quipthread LLC ("Quipthread", "we", "our", or "us") governing your access to and use of the Quipthread cloud comment platform at quipthread.com and app.quipthread.com (the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Quipthread is a comment platform that lets website owners embed a hosted comment section on their pages. It is available as a cloud-hosted service (governed by these Terms) and as open-source software you can self-host under the AGPL-3.0 license . These Terms apply only to the cloud-hosted service.
You agree not to use the Service to:
You retain ownership of all content you post through the Service ("Your Content"). By posting content, you grant Quipthread a worldwide, non-exclusive, royalty-free license to store, display, and serve Your Content solely as necessary to provide the Service.
Quipthread may remove or disable access to any content that we determine, in our sole discretion, violates these Terms or applicable law.
New accounts are eligible for a 14-day free trial on any paid plan. No credit card is required to start a trial. The trial is available once per account. If you add a payment method before the trial ends, your paid subscription begins automatically at the end of the trial period. If no payment method is on file when the trial ends, your account reverts to the free Hobby plan.
You may cancel your account at any time from the billing settings in your dashboard or by contacting us. We may suspend or terminate your account if you violate these Terms, without prior notice.
Before terminating your account, you may export your data (comments and users) in JSON or CSV format from the dashboard.
You agree to defend, indemnify, and hold harmless Quipthread LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIPTHREAD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Please read this section carefully — it affects your legal rights.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Delaware, or at your election, via telephone or videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You and Quipthread each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and Quipthread each waive any right to a jury trial.
Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration.
Opt-out. You may opt out of the arbitration agreement within 30 days of first accepting these Terms by emailing legal@quipthread.com with the subject line "Arbitration Opt-Out" and your name and account email. Opting out does not affect any other part of these Terms.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
